사립대학 구조개선에 따른 학교법인의 해산 및 청산에 대한 과세 쟁점 및 입법론적 개선방안

학령인구의 급격한 감소와 대학 경영 환경의 악화로 인해 부실 사립대학의 자율적이고 질서 있는 구조개선의 필요성이 증대되고 있다. 이에 따라 도입된 「사립대학 구조개선 지원에 관한 법률」은 비영리법인인 학교법인의 해산과 잔여재산 처리에 관한 법적 근거를 마련하였다. 그러나 현행 세법 체계는 사립대학 구조개선이라는 특수한 정책적․공공적 목적을 충분히 반영하지 못하여, 청산 과정에서 막대한 세무 부담을 발생시키고 자발적인 구조조정을 저해하는 요인으로 작용할 수 있다.
본 연구는 「사립대학 구조개선법」에 따른 학교법인의 해산 및 잔여재산 처리 과정에서 발생할 수 있는 주요 세무 쟁점을 검토한다. 구체적으로 ① 부동산․주식 등 자산 처분 시의 법인세 및 부가가치세, ② 잔여재산을 공익법인 또는 한국사학진흥재단 청산지원계정에 출연․귀속시키는 경우의 증여세 사후관리 위반 및 취득세 과세 문제, ③ 학생과 설립자 등에게 지급되는 학업중단위로금 및 해산정리금의 소득세법상 소득 구분 문제에 대한 쟁점을 분석한다. 분석 결과, 현행 세법상 조세 특례의 부재로 인해 발생하는 세법상 괴리를 해결하기 위해 과거 구 「조세특례제한법」 제81조의2의 부활 및 「지방세특례제한법」의 개정을 포함한 입법 개선이 필요하다.

<Abstract>
As the school-age population continues to decline and the financial condition of private universities deteriorates, the need for voluntary and orderly restructuring of financially distressed private universities has become increasingly significant. In response, the Private University Restructuring Support Act establishes a legal framework for the dissolution of non-profit school foundations and the disposition of their residual assets. However, the current tax system does not adequately reflect the unique public policy objectives underlying private university restructuring, thereby imposing substantial tax burdens during the liquidation process and potentially discouraging voluntary restructuring.
This study examines the major tax issues arising from the dissolution of school foundations and the disposition of residual assets under the Private University Restructuring Act. Specifically, it analyzes:(1) corporate income tax and value-added tax issues arising from the disposal of assets such as real estate and shares;(2) issues relating to gift tax post-management rules and acquisition tax when residual assets are contributed to public interest corporations or transferred to the liquidation support account administered by the Korea Foundation for the Promotion of Private Schools;and (3) the classification under the Income Tax Act of academic discontinuation compensation paid to students and liquidation compensation paid to founders and other eligible persons.
The study concludes that the absence of special tax provisions under the current tax laws creates inconsistencies between the objectives of the restructuring policy and the tax system. To resolve these issues, legislative reforms are required, including the reinstatement of former Article 81-2 of the Restriction of Special Taxation Act and amendments to the Restriction of Special Local Taxation Act.
